These terms are a working draft for MostMK. They must be rewritten by lawyers in New Jersey and in North Macedonia before anyone relies on them. They are not legal advice and they are not a final contract.
MostMK is a curated introduction platform between North Macedonian companies and buyers, investors and service firms in the US and elsewhere. In this draft, the operating companies are RIS Group DOOEL, Bitola, and a US entity to be named. The platform is an intermediary. It is not a party to a member’s contract, except where a separate written agreement says a US entity will contract and pay a supplier on a managed project.
You must give accurate information. A Macedonian company that wants a Verified badge uploads a Central Registry current-status extract no older than six months, plus identification or authorisation of the legal representative. An administrator compares the name, EMBS, activity and representative. The badge shows the review date and is meant to be renewed within 12 months. Verification is a document check, not a promise of quality, solvency or fitness for a particular job.
You are responsible for what you post. Do not post unlawful content, other people’s confidential material, or claims you cannot support. MostMK may decline, edit the visibility of, or remove a listing, request, quote or advertisement. Core posting and bidding for a Macedonian company is free in this version. Featuring and sponsorship are optional and always labeled.
An investment listing is an introduction. It is not a public offering of shares or other securities, not a crowdfunding campaign, and not investment advice. MostMK does not collect investment funds. In the US, a fee that depends on a securities transaction can require broker-dealer registration. Any funding fee is taken only under a separate agreement that a lawyer has reviewed, or as a flat fee that counsel confirms is permitted. The same question must be checked against the rules of North Macedonia’s Securities and Exchange Commission.
A bid or quote is an offer from the member who sends it, not from MostMK. When a buyer selects a bid, or a company accepts a quote, or an investor requests an introduction, the platform opens a Deal. Status values are Introduced, In negotiation, Closed and Fee due. Contact details can be shown after that selection so the source of the relationship is on record. Messaging stays inside MostMK.
A success fee may become due when a deal that started on MostMK is closed. Placeholder rates, not a price list: funding introductions 2–5% under a lawyer-reviewed finder’s agreement; managed projects a 10–20% margin inside the price the US buyer pays; service jobs 5–10% of the provider’s fee; grant awards 5–10% only where the programme rules allow payment from the company’s own funds. The rate that applies to you is the one confirmed in writing. No fee is charged merely for posting or bidding as a Macedonian company. Stripe card payments are not active in this version.
For a period that counsel will fix between 12 and 24 months after an introduction (this draft uses 18 months as the working figure), you will not knowingly go around MostMK to contract, hire or invest with a counterparty you first met through the platform, unless the success fee in section 6 has been paid or waived in writing. Message history, NDA acceptances and document-access logs are kept as evidence of the introduction. This clause is a placeholder. Its length, exceptions (for relationships that pre-date the introduction) and enforceability have to be settled by lawyers in both countries before launch.
Private files open only to a signed-in user whose access was approved after they accepted the NDA text shown on the gate. The record stores the time, IP address and version of the text. Links expire quickly. Each opening is logged. You will not copy those files except for the evaluation you were granted.
Paid placements are labeled Sponsored. They do not affect verification or bid selection. The advertiser is responsible for the creative and for having rights to it. Prices in the partnership programme are placeholders. Invoices, VAT and which MostMK entity bills you are to be confirmed with accountants in North Macedonia and the United States.
MostMK does not guarantee that a counterparty will perform, that a project will be funded, or that a document check caught every error. To the extent the law allows, liability is limited to fees you paid MostMK in the three months before a claim. Governing law, venue and the language that prevails if the Macedonian and English texts differ are intentionally left blank for counsel. If you do not agree with this draft, do not use the platform.
Before the intake assistant runs, you tick a consent box. The conversation, the email you give, files you attach, and the structured application are used to match MostMK services and example funding calls, and to prepare a draft for an expert. They are not sold.
The assistant can run in a demo mode with scripted replies when no model API key is configured. If a key is set, the text may be sent to OpenAI or Anthropic only to write the reply. Prices are taken from the admin service menu. A fit of likely, unclear or unlikely is not a grant decision.
